Application of Terms and Conditions

Sensing LLC («we») provides products and services based on quotations or online prices available to logged-in users, subject to the following terms and conditions. It is the customer’s duty to verify all quotations or online products and order confirmations to ensure the goods or services meet their requirements. Placing an order indicates acceptance of these terms and conditions.

International Customers

Goods are dispatched from various global locations. Import duties and taxes may apply, and it is the purchaser’s responsibility to handle import and customs clearance. We will inform you of the dispatch point and assist with any queries.

Please note that customs inspections may occur, and packages may be opened.

Sales and Service

Any variation to these terms must be confirmed in writing by authorized representatives of both Sensing LLC and the customer.

Quotations reflect stock levels and information at the time of issuance, which fluctuate hourly. Lead times are confirmed at order placement.

Sensing LLC reserves the right to change any sales literature, price lists, and other documents without notice. Contracts for sales are binding only when the customer places an order and Sensing LLC confirms it in writing, issues a final invoice, or delivers the goods. We cannot control sudden manufacturer price increases or stock level changes. Goods are not reserved until an order is placed and payment received.

Photographs and descriptions in our catalogues, brochures, or price lists are intended as guides and are not binding.

Sensing LLC is not liable for any errors or omissions in product numbers or descriptions on any NRwell.com websites.

We reserve the right to modify the specification of goods to comply with any applicable safety or statutory requirements, provided such changes do not materially affect the quality or performance of the customer’s application.

Subcontractors

Sensing LLC may assign the contract or any part of it to any subcontractor (person, firm, or company) without the customer’s prior consent.

The customer may not reassign the contract or any part of it without Sensing LLC’s prior written consent.

Cancellation

Orders accepted by Sensing LLC cannot be canceled by the customer without written agreement from Sensing LLC. The customer will indemnify Sensing LLC against all losses, costs, damages, charges, and expenses incurred as a result of such cancellation.

Payment

Payments should be made to Sensing LLC as indicated on the quotation or invoice. Pro forma orders will not be processed until full payment is received. Credit accounts must be paid according to the agreed terms, and late payment may result in the withdrawal of the credit account.

Unless otherwise agreed in writing, Sensing LLC will send a final invoice at the time of or after delivery of the goods.

If the customer fails to make payment on the due date, Sensing LLC reserves the right to cancel the order and suspend further orders or deliveries.

Delivery

Goods will be delivered to the address confirmed on the order confirmation. It is the customer’s responsibility to ensure the delivery address is correct.

Customers may arrange their own collection once Sensing LLC confirms the goods are ready.

Delivery dates are approximate. We will endeavor to offer an earlier delivery date if possible and will notify if goods are ready for dispatch earlier. Sensing LLC is not responsible for late deliveries due to factors beyond our control.

If the customer fails to take delivery of the goods, Sensing LLC is entitled to charge for any additional costs incurred, including re-delivery charges, storage fees, and return costs.

Sensing LLC is not liable for late deliveries resulting from factors beyond our control, such as manufacturer delays, customer payment delays, or carrier faults.

Retention of Title and Risk

Risk of damage or loss of the goods transfers to the customer when:

  1. Goods are delivered to the specified delivery address.
  2. Goods are installed by Sensing LLC.
  3. Goods are ready for collection by the customer or their carrier.

Legal and beneficial title remains with Sensing LLC until full payment is received for the goods and any other monies owed. Sensing LLC reserves the right to repossess goods without notice where title is retained.

The customer’s right to possess the goods ends if:

  1. The customer breaches these terms and conditions.
  2. The customer enters into insolvency arrangements or bankruptcy.
  3. The customer goes into liquidation or has a receiver appointed.

Faulty or Defective Goods

If goods are defective or faulty and the customer lawfully refuses delivery or signs for them as «condition not checked/contents and condition unknown,» and provides written notice within 7 days of delivery, Sensing LLC will:

  1. Repair or replace the defective goods or refund the purchase price.
  2. Open a case with the carrier if the goods were damaged in transit.

Goods cannot be returned without prior written agreement and adherence to Sensing LLC ‘s return procedures.

Sensing LLC is not obligated to credit or accept returns of non-defective goods. The customer must ensure goods are stored properly and handled according to Sensing LLC or manufacturer instructions.

Liability

Sensing LLC is not liable for any loss, damage, costs, or claims arising from the supply of goods and services.

The customer indemnifies Sensing LLC against any damages, losses, or expenses caused by the customer or their agents or employees.

Sensing LLC is not liable for delays or failure to perform obligations due to factors beyond our control, such as manufacturing delays, severe weather, strikes, component shortages, or manufacturer product discontinuation.

In the event of an inability to perform obligations, Sensing LLC will notify the customer and refund any payments received for the unperformed obligations.

Nothing in these terms excludes or limits Sensing LLC’s liability for:

  1. Death or personal injury caused by our negligence.
  2. Any matter which it would be illegal to exclude or attempt to exclude liability.
  3. Fraud or fraudulent misrepresentation.

Confidentiality

All parties involved in transactions must:

  1. Keep confidential all private and company information.
  2. Not disclose confidential information to any other person.
  3. Not use confidential information for purposes unrelated to the supply of goods or services.
  4. Not make copies or records of confidential information.
  5. Ensure employees, directors, or agents do not breach these clauses.

Confidential information may be disclosed if requested by a government or regulatory body.

Privacy

Sensing LLC does not collect or store customer credit or debit card numbers or other financial information. We will protect and secure your data as outlined in our Privacy Policy.

Force Majeure

Neither party is liable for failure or delay in performing obligations due to causes beyond reasonable control, including power failures, ISP failures, industrial action, civil unrest, fire, flood, storms, terrorism, war, governmental actions, or other events beyond control.

Waiver

Failure to enforce any provision of these terms or the contract does not constitute a waiver of the right to enforce that or any other provision. Such failure does not waive any preceding or subsequent breach and is not a continuing waiver.

Severance

If any provision of these terms or the contract is found invalid or unenforceable, that provision will be severed, and the remainder will remain valid and enforceable.

Sensing LLC reserves the right to change this policy as necessary or as required by law. Changes will be published on the website, and continued use of the website or interaction with Sensing LLC will indicate acceptance of the updated terms.
